Affiliate Program Terms
In plain English, before the detail
- Joining is free. There is no purchase requirement of any kind, ever — not now, not at any tier, not to unlock anything.
- We pay you $0.35 for every confirmed email sign-up you send us (Rail A).
- If you perform consistently we may issue you a discount code in your own name, and pay you $1.00 per sale it makes, rising with volume (Rail B).
- Rail A is paid monthly after a 30-day hold. Rail B is paid on a 60-day cycle, net of refunds, because Udemy allows learners to refund for 30 days.
- We make no earnings claims. Any figures we publish are arithmetic examples at our published rates, not predictions of what you will earn.
The rest of this page is the binding version.
1. Eligibility and joining
1.1 You must be at least 18 years old and legally able to enter a contract in your jurisdiction.
1.2 Participation is free. No payment, purchase, subscription, fee, deposit, starter pack, training package or product purchase of any kind is required to join, to remain a participant, or to reach any tier of this program. We will never introduce one. If anyone claiming to represent LearnersCare asks you to pay to participate, that person is not authorised by us — tell us immediately.
1.3 We may decline an application, or later suspend or end participation, at our discretion, including where we believe these terms have been breached.
1.4 You participate as an independent contractor. These terms do not create employment, agency, partnership, joint venture or franchise between you and LearnersCare. You have no authority to make commitments on our behalf.
2. What we sell, and who sells it
2.1 LearnersCare courses are hosted and sold by Udemy. Udemy takes the payment, owns the customer relationship, issues refunds, and provides student support. We are the instructor.
2.2 You are promoting LearnersCare pages and offers. You are not a Udemy affiliate by virtue of these terms, and these terms do not give you any relationship with Udemy.
2.3 Because Udemy controls the platform, some things are outside our control — including coupon limits, free-seat caps, pricing rules, refund policy, and the availability of any individual course. We will tell you promptly when a change affects your earnings, but we cannot prevent such changes.
3. Rail A — payment for confirmed sign-ups
3.1 What we pay. US $0.35 for each Verified Sign-Up attributed to your tracking link.
3.2 Verified Sign-Up means all of the following:
- a. a person clicked your unique tracking link and submitted the sign-up form on a LearnersCare page;
- b. that person then clicked the confirmation link in the email we sent them (double opt-in); and
- c. the resulting record passes our validity checks under section 3.3.
A form submission that is never confirmed is not a Verified Sign-Up and is not paid.
3.3 What does not count. We do not credit, and may reverse credit for, sign-ups that are:
- duplicates of an address already in our list, by any partner or by us, at the time of confirmation;
- from disposable, temporary or role-based addresses;
- generated by automation, bots, incentivised traffic, paid-to-click services, or purchased lists;
- generated by you, your household, or accounts you control;
- from traffic we reasonably determine to be fraudulent, misrepresented, or in breach of section 6;
- subsequently found to hard-bounce, or to be reported as spam at a rate materially above normal.
3.4 Volume limits. We do not publish a fixed monthly limit on Verified Sign-Ups. We may, at our discretion, apply a temporary volume limit to a new or newly reinstated participant while a quality history is established, or where sign-up quality falls below the standards in section 3.3. Where we apply a limit we will tell you what it is, why it applies, and what would remove it. Applications to join are reviewed individually and may be declined at our discretion.
3.5 Payment schedule. Verified Sign-Ups confirmed in a calendar month are paid in the month following a 30-day hold, provided the balance meets the threshold in section 5.2.
4. Rail B — commission on code redemptions
4.1 Rail B is by invitation and cannot be purchased. We may invite participants with a consistent Rail A record. Invitation is at our discretion and confers no ongoing entitlement.
4.2 How it works. We issue a discount coupon code on a named course, in your name, active for a defined window (typically five days). Redemptions of that code are recorded by Udemy in our instructor revenue report.
4.3 Rates. Per redemption within your window:
| Redemptions in the window month | Rate per redemption |
|---|---|
| 1 – 250 | US $1.00 |
| 251 – 500 | US $1.50 |
| 501 and above | US $2.00 |
Rates apply to the redemptions above each threshold within that month.
4.4 Scarcity is real and outside our control. Udemy permits an instructor a limited number of coupons per course per calendar month. Windows are therefore limited, are allocated at our discretion, and cannot be guaranteed, reserved or bought.
4.5 The source of truth. Redemption counts are taken from Udemy’s instructor revenue report. We will show you the relevant lines for your code on request. Where our dashboard and that report disagree, the report governs.
4.6 Payment schedule. Redemptions are paid on a 60-day cycle, net of refunds recorded in that report at the time of calculation. The 60-day period exists because Udemy permits learners to refund within 30 days of purchase.
4.7 You may not alter the code or the link. The coupon code and the destination URL we issue must be used exactly as provided. Modifying, shortening in a way that masks the destination, cloaking, or re-issuing them under another code voids the commission on affected redemptions.
5. Payments generally
5.1 Currency and method. Payments are made in US dollars by PayPal, Wise, or bank transfer to the account you nominate. Availability of each method depends on your country and on the payment provider’s own rules. Transfer fees charged by the payment provider are deducted from the payment unless we state otherwise.
5.2 Minimum threshold. Balances below US $100 roll forward to the next cycle. On termination, any balance below the threshold that has been earned and verified will be paid within 60 days if you request it.
5.3 Tax. You are responsible for all taxes on amounts you receive. Before your first payment we require a completed IRS Form W-9 (US persons) or Form W-8BEN / W-8BEN-E (non-US persons). We will withhold or report as US law requires. Payments may be held until valid documentation is provided.
5.4 Clawbacks. We may deduct from current or future balances any amount previously credited that is later found to be invalid under section 3.3, refunded under section 4.6, or obtained in breach of these terms. Where no balance remains, we may invoice for the amount.
5.5 Disputes. Raise any payment question within 60 days of the payment date and we will investigate and show you our workings.
6. How you may and may not promote
6.1 You must:
- a. Disclose your relationship with us clearly and conspicuously, close to your link, in a way an ordinary reader will notice and understand — as required by the FTC’s Endorsement Guides and equivalent rules in your jurisdiction. “I earn a commission if you sign up through this link” is sufficient; a hashtag buried in a caption is not.
- b. Describe our courses, prices and offers accurately, and only as we describe them.
- c. Comply with all applicable law, including anti-spam law (CAN-SPAM, CASL, GDPR/ePrivacy and their equivalents) for any email or message you send.
- d. Only send traffic you have obtained lawfully, from people who chose to hear from you.
6.2 You must not:
- a. Make earnings, income or results claims about this program, our courses, or what a learner or partner will achieve. This includes screenshots of earnings, “make $X” framing, and testimonials you cannot substantiate.
- b. Represent yourself as LearnersCare, as an employee, or as speaking on our behalf; or register domains, social accounts or app listings using our name or a confusing variation.
- c. Bid on our brand terms, our course titles, or misspellings of either in paid search; or run paid ads that direct to our pages without our prior written consent.
- d. Use cookie stuffing, forced clicks, pop-unders, iframes, adware, toolbars, browser extensions or any mechanism that generates clicks or sign-ups a person did not intend.
- e. Post our codes to coupon-aggregation, deal-scraping or “free course” sites without our prior written consent. This can breach Udemy’s own rules and put the courses at risk for everyone.
- f. Offer cash, rewards, entries or other incentives in exchange for signing up.
- g. Promote us alongside content that is unlawful, hateful, sexually explicit, or that infringes anyone’s rights.
- h. Purchase, resell, sublicense or transfer your participation, your links, or any code issued to you.
6.3 Promotional materials. Banners, swipe copy and other assets we provide remain ours and are licensed to you only for promoting LearnersCare while you participate. You may adapt swipe copy into your own voice provided it stays accurate and does not breach 6.2(a).
7. No earnings claims, by either of us
7.1 We make no representation, promise or guarantee about what you will earn. Any figures shown on our pages are arithmetic illustrations at our published rates.
7.2 Results depend entirely on your audience, your effort and factors outside both our control. Many participants will earn little or nothing.
7.3 You must not make such claims either — see 6.2(a).
8. Term, changes and termination
8.1 These terms apply for as long as you participate.
8.2 Either of us may end participation at any time, for any reason, with written notice (email is sufficient). We may suspend an account immediately where we suspect fraud or a breach of section 6.
8.3 What happens on termination. Your links and codes stop working on the termination date. Verified Sign-Ups confirmed, and Rail B redemptions recorded, on or before that date continue to be paid on the normal schedule for up to 60 days after termination, subject to sections 3.3, 4.6 and 5.4. Activity after the termination date is not paid. Where we terminate for fraud, or for a breach of section 6.2(a), (d) or (f), all unpaid amounts are forfeited and section 5.4 applies to amounts already paid.
8.4 We may change these terms. Material changes take effect 30 days after we email participants and update this page, except where a change is required by law or by Udemy, which may take effect immediately. Continuing to promote after the effective date means you accept the change.
9. Liability and governing law
9.1 The program is provided “as is”. We do not warrant uninterrupted tracking, continuous availability of any course, or that any particular course or coupon will remain available.
9.2 To the fullest extent permitted by law, our total liability to you arising out of or relating to this program is limited to the total amounts paid or payable to you under it in the 12 months before the claim. Neither party is liable for indirect, incidental, special or consequential damages, or for lost profits.
9.3 These terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules. The state and federal courts located in Travis County, Texas have exclusive jurisdiction, and both parties consent to venue there.
9.4 If any provision is unenforceable, the rest continues in force.
